Constitution and Bylaws of University of Arizona

Students for Organ Donation

(UAOD)

 

Article I

Name

 

The name of this organization shall be the University of Arizona Students for Organ Donation, hereinafter referred to as UAOD. The organization is a student organization at the University of Arizona.

 

Article II

Objectives

 

The objective of this organization is to promote post-mortem organ and tissue donation on the University of Arizona campus and surrounding community. UAOD will do this by educating individuals on the issue, encouraging individuals to register as organ donors as well as giving them the means to register, and provide fellowship among students and faculty.

 

Article III

General Membership

 

Section 1:               Qualifications and Membership

  1. All student, faculty, and staff of the University of Arizona may be members of UAOD.
  2. Individuals from outside of the University of Arizona may act as associate members, but may not vote or hold office.

Section 2:               Obligations of Members to UAOD

  1. It shall be the duty of all UAOD members to uphold this constitution. General members must confer with all board members on all matters regarding the interpretation of this constitution.

Section 3:               Obligations of UAOD to Members

  1. Each UAOD member shall have access to, and/or receive upon request, a copy of the UAOD constitution.

Section 4:               Alumni Board

A.      The Alumni Board will consist of former Executive Board Members who have made significant contributions to    the organization as evaluated by the current members of the Alumni Board. The Alumni Board will serve in a consulting role to the current Executive Board.

Article IV

Officers

 

Section 1:               Composition and Duties of Officers

  1. President: The president will oversee all aspects of UAOD. A successful president must have the leadership capabilities to successfully delegate responsibilities and keep people motivated. The president prepares, conducts, and presides over all bi-weekly executive and alternating general meetings. The president is responsible for club recognition and the liaison to the University of Arizona community.
  2. Vice President: The vice president works hand-in-hand with the president to run the organization. The vice president will oversee the different aspects of UAOD, and be able to fill-in for the president when he/she is unable to attend meetings or fulfill another duty. The vice president also presides over the listserv with complete ownership.
  3. Project and Community Events Director: The project director coordinates the events and campaigns of the organization. The position is best filled by an individual with experience coordinating large projects on campus as well as dealing with large organizations.
  4. Web Designer: The web designer works to develop a website that helps the organization project a positive image to the community, as well as provide information for members of UAOD.
  5. Secretary: The secretary maintains the organizations membership database, takes notes at meetings, and handles other forms and documents for UAOD. The secretary will also be in charge of taking attendance at all meetings.
  6. Committee Directors/Members: Committees may be formed by majority agreement of the aforementioned Executive Board Members due to circumstantial necessity on a temporary or permanent basis.

 

Section 2:               Selection of Officers

  1. Qualifications:

1. Any student, faculty, or staff at the University of Arizona is eligible to apply for an officer position on   the executive board of UAOD. An application must be submitted by each applicant by the selection process date at the end of each fall semester. All officers will assume office for a period of one year.

  1. Recall of Officers:

                   1. Any member of the exec board may be recalled for reasons including but not limited to:

a.        Absence of 3 meetings without excuse or notification to the president.

b.       Failing to fulfill assigned responsibilities and duties as an officer set within this constitution.

c.        Violating the rules and regulations set within this constitution.

d.       Having a detrimental effect on the organization.

2. Recall procedures will be initiated at the request of five active members or if the president deems necessary.

3. A hearing will be conducted at the regular meeting for the presentation of evidence from all concerned parties.

                   4. A majority of executive voting in the recall at the end of the hearing is necessary to remove any officer.

  1. Vacant Position

1. If any officer position becomes vacant for any reason, the executive board shall call for and consider       applications for a said position according to the provisions in Article V Section 2.

                   2. The president shall appoint, upon two-thirds approval by the voting members of the executive board, a

                   temporary officer to assume all responsibilities and duties until a new officer is selected at the end of the

                   fall semester.

                   3. If the president position becomes vacant, the vice president shall assume the office of the president. The

                   new president shall refer to part 2 above to fill the position of Vice President.

4. If both president and vice president positions become vacant, succession of remaining officers will be     determined by a nomination process. Upon two-thirds approval by the executive board one individual shall be appointed president and the other vice president. These individuals shall be responsible for carrying out all the duties of these positions until a formal selection process (in the fall) can be initiated.

 

Article V

Voting

Section 1:               Amending

This constitution may be amended by two-thirds majority vote of all eligible voting members.

Section 2.               Voting Membership

A.   All members who have participated in UAOD for two consecutive semesters are eligible for voting to amend the constitution and the installment of new officers.       

  1. All of the executive board shall have one vote, except for the president who shall serve as a non-voting member. In case of a tie, the president shall cast the final vote.
  2. A vote may not be given by proxy or absentee ballot unless expressed consent is given with a two-thirds vote by the executive board.

Section 3:             The Amendment Process

  1. Any member of UAOD may propose an amendment.
  1. All members must be made aware of any proposed constitution amendment(s) and given at least two weeks to express their concerns in writing. All members of the executive board must recognize all written concerns before the proposed amendment is voted upon.

 

Article VI

Statement of Principles

 

Section 1:               Not-For-Profit Statement

This is a Not-For-Profit organization.

Section 2:               Statement of Non-Discrimination

This organization shall not discriminate on the basis of age, color, ethnicity, gender, national origin, disability or handicap, race, religion, sexual orientation, Vietnam Era veteran status. This policy will include, but is not limited to, recruiting membership, organization activities or opportunities to hold office.

Section 3:               Statement of Non-Hazing

This organization will not conspire to engage in hazing, participate in hazing, or commit any act that causes or is likely to cause bodily danger, physical harm, or personal degradation or disgrace resulting in physical or mental harm to any fellow student or person attending the institution.

Section 4:               Statement of Compliance with Campus Regulations

This organization shall comply with all University and campus policies and regulations and local, state, and federal laws.

Article VII

Financial Obligations

 

Section 1:               Use of Funds

  1. The president and vice-president may determine reasonable allocations of money in accordance with goals and programs established by UAOD.
  2. All funds will be used directly or indirectly to promote organ and tissue donation. All funding donors will be recognized and accepted.
  3. In an event that the organization shall dissolve, all remaining funds will be distributed to the Donor Network of Arizona.
